Terms of Service

1. Acceptance of Terms

By accessing and using Bulk SMS Sender ("the Service"), operated by Adonis Solutions ("we," "us," or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

These terms apply to all users, including but not limited to browsers, customers, merchants, and content contributors.

2. Service Description

Bulk SMS Sender is a web-based platform that enables users to send bulk SMS messages to mobile phone users across East Africa, including Tanzania, Kenya, Uganda, Rwanda, Burundi, and South Sudan.

Our Service includes:

• Excel file upload for bulk phone number processing
• SMS composition and delivery
• Real-time delivery tracking and reporting
• User account management and quota allocation
• Administrative dashboard for authorized users

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account by contacting our administrators. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be:

• At least 18 years old
• A registered business or individual authorized to conduct business
• In compliance with all applicable laws in your jurisdiction

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Acceptable Use Policy

4.1 Prohibited Content

You may NOT use our Service to send messages that:

• Contain illegal content or promote illegal activities
• Are fraudulent, deceptive, or misleading
• Contain malware, viruses, or malicious code
• Are threatening, abusive, harassing, or defamatory
• Violate intellectual property rights
• Contain adult content or obscene material
• Promote violence, hatred, or discrimination
• Constitute spam or unsolicited commercial messages (without proper consent)
• Attempt to phish or steal personal information

4.2 Compliance with SMS Regulations

You agree to comply with all applicable SMS marketing laws and regulations, including:

• Obtaining proper consent before sending marketing messages
• Including opt-out mechanisms in commercial messages
• Honoring opt-out requests immediately
• Complying with Tanzania Communications Regulatory Authority (TCRA) guidelines
• Following Kenya's Communications Authority regulations
• Adhering to data protection laws in your operating region

4.3 Sender ID Requirements

If using a custom Sender ID:

• It must accurately represent your business or organization
• It must not impersonate another entity
• It must be approved by Africa's Talking before use

5. Pricing and Payment

5.1 Pricing

Current pricing is TZS 27 per SMS for standard users. Prices are subject to change with 30 days' notice. Custom pricing is available for Business and Enterprise plans.

5.2 SMS Counting

• 1 SMS = up to 160 characters
• 161-306 characters = 2 SMS
• 307-459 characters = 3 SMS
• Each SMS segment is charged separately

5.3 Payment Terms

• Payment is required before SMS credits are allocated
• Accepted payment methods: M-Pesa, Airtel Money, Tigo Pesa, bank transfer
• Monthly quotas reset on the 1st of each month
• Unused SMS credits do not roll over (unless otherwise agreed in Enterprise contracts)

5.4 Refunds

See our Refund Policy for full details. Generally:

• Unused SMS credits may be refunded within 14 days of purchase
• A 10% processing fee applies to all refunds
• Sent SMS cannot be refunded

6. Service Availability and Performance

6.1 Uptime

We strive to maintain 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

6.2 Delivery Rates

While we target 99%+ delivery rates, we cannot guarantee delivery to all numbers due to factors beyond our control, including:

• Recipient phone being switched off or out of coverage
• Invalid or deactivated phone numbers
• Network operator issues
• SMS filtering by mobile operators

6.3 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be error-free, secure, or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid for the Service in the past 6 months
• We are not responsible for content sent by users
• We are not liable for actions of third-party service providers (e.g., Africa's Talking, mobile network operators)

8. Indemnification

You agree to indemnify and hold harmless Adonis Solutions, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Content you send through the Service
• Infringement of third-party rights

9. Data and Privacy

Our use of your personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Data Retention

• Phone numbers: Stored only during active campaigns
• SMS history: Retained for 90 days
• Account data: Retained while account is active

9.2 Data Security

We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

10. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Adonis Solutions and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our software or content
• Reverse engineer or decompile the Service
• Use our trademarks without permission
• Create derivative works based on the Service

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification at least 30 days before they take effect.

Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved in the courts of Tanzania.

If informal resolution fails, disputes may be submitted to mediation before pursuing legal action.
